These Terms of Use govern your access to and use of the website operated by Dataworld (Canada) Inc. ("Dataworld", "we", "us", or "our"), a Canadian B2B information technology and audiovisual reseller founded in 1979 and based in Quebec. By accessing or using this website, you agree to be bound by these Terms of Use. If you do not agree, please do not use the website.

This website is an informational product catalogue and a lead generation tool. It is not an online store. There is no customer account, shopping cart, checkout, online payment, or order placement on this website. The only actions available to you are to submit a request for a quote ("RFQ") or to contact us through the contact form. This document is a review-ready draft and does not constitute legal advice.

Much of this information is syndicated from third-party sources, principally Ingram Micro, and from manufacturers. We do not independently verify all of it.

Prices shown on the website are the manufacturer suggested retail price (MSRP), are expressed in Canadian dollars unless otherwise stated, and are listed for reference and comparison purposes. MSRP is a list price. It is not necessarily the price at which Dataworld will sell a product, and the price we quote to you may differ.

Catalogue content, specifications, availability, and prices are indicative only, are subject to change without notice, and depend on availability. The catalogue may contain inaccuracies, errors, or omissions, including in descriptions, specifications, images, and pricing. We reserve the right to correct any such errors and to change or update catalogue information at any time without notice.

Nothing on this website constitutes an offer capable of acceptance, a binding quotation, or a guarantee of price, availability, specification, or fitness for any particular purpose. A binding price and availability are provided only in a written quotation issued by Dataworld in response to your request, as described below.

4. Requests for Quotes Are Not Orders; How a Contract Is Formed

When you submit an RFQ or a contact request through this website, you are asking Dataworld to follow up with information or with a quotation. Submitting a request is not the placement of an order, and it does not create any contract, reservation, or obligation to buy or to sell.

No contract of sale is formed through this website. A contract is formed only when, after your request, Dataworld issues a written quotation and you accept that quotation by means of a separate purchase order or other written confirmation, and Dataworld accepts that purchase order. Until that occurs, either party may decline to proceed, and Dataworld is under no obligation to provide any product at the MSRP shown on the website or at any other price.

Any quotation we issue is valid only for the period and on the terms stated in the quotation, and remains subject to product availability and to confirmation at the time of order acceptance.

5. Sale, Payment, Delivery, Warranty, and Returns Are Governed Off the Website

Any sale that results from a quotation and an accepted purchase order is governed by the order documentation agreed between you and Dataworld at the time of purchase, which may include the quotation, the purchase order, an invoice, and any applicable terms and conditions of sale. Those documents, and not this website, govern the commercial relationship between the parties.

In particular, the following are determined by that order documentation and do not take place on this website:

  • Final pricing, taxes, currency, and payment terms.
  • Delivery, shipping, title, and risk of loss.
  • Product warranties. Products are covered by the applicable manufacturer's warranty, if any. Except as expressly stated in the order documentation, Dataworld makes no separate warranty of its own.
  • Returns, exchanges, cancellations, and return merchandise authorization (RMA), which are handled directly with Dataworld and the applicable manufacturer or distributor under the order documentation and the manufacturer's policies, not through this website.

Because no orders, payments, or returns are processed on this website, no on-site checkout terms, restocking fees, or online return procedures apply to your use of the website itself.

6. Acceptable Use of the Website

You agree to use the website only for lawful purposes and in a manner consistent with these Terms. You agree not to:

  • Use the website in any way that violates any applicable law or regulation.
  • Attempt to gain unauthorized access to the website, its servers, or any connected systems or data.

"Dataworld" and the Dataworld logo are trademarks or trade names of Dataworld (Canada) Inc. Dataworld is an authorized reseller of certain manufacturers. 12. Governing Law and Jurisdiction

These Terms of Use and your use of the website are governed by and construed in accordance with the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict-of-law rules.

You agree that the courts located in the Province of Quebec, Canada, have exclusive jurisdiction over any dispute arising out of or relating to these Terms of Use or your use of the website, and you submit to the jurisdiction of those courts. As permitted by applicable law, the parties agree that the judicial district of Montreal, Province of Quebec, is the venue for any such proceeding.

13. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dataworld regarding your use of the website. It is the express wish of the parties that these Terms and all related documents be drawn up in English.
